1. Introduction
These Terms and Conditions ("Terms") govern your use of CardtoNaira platform ("Platform"), which facilitates your (user) selling of cryptocurrency and gift cards in exchange for Nigerian local currency. This Terms is entered between you (user) and Tbrazix Company Ltd which owns and operates CardtoNaira platform. In this Terms and conditions, Tbrazix, platform and CardtoNaira are used to refer to one and the same legal entity (Tbrazix Company Ltd).
Now, by using the Platform, you agree to these Terms. Please read them carefully before using our services. If you do not agree, you may not access or use the Platform.
2. Eligibility
To use the CardtoNaira platform, you must:
Be at least 18 years old.
Possess legally obtained gift cards or cryptocurrency.
Reside in a region where the use of this service is legal.
Provide accurate and up-to-date information during registration and account use.
3. Platform Description
CardtoNaira is not a cryptocurrency exchange, broker, or wallet provider. The Platform facilitates the sale of cryptocurrency and gift cards, and the cryptocurrency sold is received in third-party wallets not controlled by CardtoNaira. All cryptocurrency transactions are subject to the terms and conditions of the third-party platforms hosting the wallet addresses. CardtoNaira manually transfers local currency to the user upon the successful transfer of cryptocurrency.

CardtoNaira offers the following services:

Purchase of cryptocurrency.

5. Account Registration and Security
Account Setup: Users must register with accurate details including an email address, phone number, and bank account information. When a user successfully opens an account with CardtoNaira, the user is automatically assigned Tier 1 account. For more on account tiers, requirements and benefits please see our account tiers and limitations.
Account Security: Subscribers are responsible for maintaining the security of theiraccounts, including login credentials. You are responsible for keeping your PIN secure at all times, withoutreservation. For the avoidance of doubt, CardtoNaira will not be responsible when/where you compromise your details by disclosing itto third parties. Any unauthorized access or use of an account must bereported to CardtoNaira immediately.
Verification: CardtoNaira reserves the right to request additional verification to ensure account security and prevent fraud.
6. Cryptocurrency Exchange Process
Transaction Confirmation: Only confirmed cryptocurrency transactions will be processed. Unconfirmed or pending transactions will not be eligible for exchange.
Transaction Fees: All network and transaction fees incurred during the transfer of cryptocurrency are the user’s responsibility. CardtoNaira is not liable for covering these fees.
Minimum and Maximum Limits: Transactions must adhere to the specified minimum and maximum limits. Failure to comply may result in additional fees, delayed processing, or require manual verification.
Exchange Irreversibility: Once cryptocurrency is transferred to CardtoNaira, it is automatically exchanged into Naira. Cryptocurrency withdrawals are not permitted after conversion.
Incorrect Networks or Addresses: If cryptocurrency is sent to the wrong address or via the wrong network, the funds will be considered lost. CardtoNaira assumes no responsibility for such losses.
New Wallet Address: For each transaction, users must generate a new wallet address. Sending cryptocurrency to an old address will result in lost funds, for which CardtoNaira is not liable.
7. Gift Card Exchange Process
Valid and Unused Cards: Only unused gift cards will be accepted. Used or partially redeemed cards will not be processed.
Legal Ownership: By submitting a gift card, you affirm that it was legally obtained.
Image Uploads: Clear and legible images of gift cards and receipts must be provided to ensure a smooth transaction.
8. Payment Policy
Bank Payments: Payments will be made to your designated Nigerian
bank account. Ensure the details provided are accurate to avoid delays
Processing Time: Payments typically process within 10 to 30 minutes but may take up to 24 hours based on network conditions.
Overpayments: In case of overpayments, users must return the excess amount within 48 hours. Failure to do so may result in legal action.
At Cardtonaira, withdrawal fees are collected to cover costs such as bank transfer fees for incoming and outgoing funds. These fees, ranging from ₦100 to ₦2,000, help us maintain a smooth and reliable service. By using our app, users agree to have these fees deducted with each withdrawal. Which also will be visible to user before deduction
On no occasion will Cardtonaira charge you more than ₦2,000, and we will adhere to the specified maximum and minimum fees.
9. Third-Party Wallets
CardtoNaira does not provide cryptocurrency wallet services and is not responsible for the performance or security of third-party wallets. Users acknowledge that CardtoNaira is subject to the terms and conditions of the third-party wallets hosting its wallet addresses
10. No Investment or Exchange Services
CardtoNaira does not represent itself as a cryptocurrency exchange or financial services and does not offer investment advice, brokerage services, or trading opportunities. The Platform only facilitates the sale of cryptocurrency and gift cards by users. CardtoNaira is not regulated by the Securities and Exchange Commission (SEC) or any other cryptocurrency regulatory body.
11. Prohibited Transactions
The following are prohibited on the Platform:
Selling stolen, fraudulent, or unauthorized gift cards.
Engaging in transactions with cryptocurrency obtained through illegal activities.
Using the Platform for money laundering or other illegal purposes.
12. Fraud Prevention and Compliance
Transaction Monitoring: CardtoNaira reserves the right to monitor all transactions for suspicious or fraudulent activities.
Account Suspension: Accounts involved in fraudulent activities will be suspended, and CardtoNaira may cooperate with law enforcement authorities.

13. Limitation of Liability
CardtoNaira will not be responsible for losses or damages resulting from:
Incorrect account or transaction details provided by users.
Unauthorized access to accounts due to weak security practices.
Delayed transactions caused by network issues or incorrect banking details.
Loss of cryptocurrency or gift cards due to user error, including sending assets to the wrong address or network.
Invalid or used gift cards.
14. Termination of Service
CardtoNaira reserves the right to suspend or terminate accounts that violate these Terms or are involved in illegal activities. Termination may result in the loss of access to services and any pending transactions.
15. Indemnification:
Users agree to indemnify and hold CardtoNaira harmless from any claims, losses, or damages arising out of their misuse of the site, violation of terms, or infringement of intellectual property rights.
16. Dispute Resolution
Internal Dispute Process: Users are encouraged to contact CardtoNaira for any disputes.
Arbitration: You agree to arbitrate any disputes. This Agreement is subject to, and shall be governed by, and construed in accordance with the laws of Nigeria, without reference to the principles of conflict of laws thereof. Any matters arising Concerning the interpretation, validity or implementation of this Agreement not solved by mutual agreement between the Parties shall be submitted to arbitration in the English language before a sole arbitrator to take place in Delta State, Nigeria as the seat of the arbitration. The arbitration shall be conducted pursuant to the Rules of Arbitration of the Chartered Institute of Arbitrators of the United Kingdom. The arbitral decision shall be final and binding on the Parties and may be made an order of court. The Parties unconditionally consent and submit to the jurisdiction of the High Court of Delta State, Nigeria for such purpose. Nothing in this Agreement will be deemed as preventing parties from seeking injunctive relief (or any other provisional remedy) from any court having jurisdiction over the Parties and the subject matter of the dispute as is necessary to protect a party's name, proprietary information, trade secrets, hknow-how, or any other intellectual property rights
17. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria. Users agree to submit to the jurisdiction of the courts in Nigeria.
18. Changes to Terms
CardtoNaira reserves the right to modify these Terms at any time. Users should regularly review the Terms for any updates.
19. Entire Agreement
These terms of use constitute the entire agreement between you and CardtoNaira Limited with respect to your use of the CardtoNaira website and services. These terms of use supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
If any provision of these terms of use is held to be invalid or unenforceable, such provision will be struck from these terms of use and the remaining provisions will remain in full force and effect.
20. Waiver
No waiver of any provision of these terms of use for any user all users are bound by this term of use except unless in writing and signed by both parties.
